In a case where an employee with access to inside confidential technical information can freely transfer without any limitation to a competing company from the company of origin, that employee would effect the technology and the social economy in polarizing ways. The investment onto the higher advanced technology and progress would be decreased, but the social economy would benefit for consumers who will be offered lower costs for the same services. Strengthening the protection of intellectual property rights is important because it protects the owners of intellectual property and encourages further innovation. Therefore, both the company's operating profit and the workers' right to transfer of employment should be protected in the balance rather than concentrating to a temporary benefit of the unfair competition.
Trade secrets, as independent economic value, are useful information in technique and business administration that have been kept as the secrets in the process of the production, sales, and trades. Many court rulings pertaining to trade secrets show the balanced protection of both the employers' profit and the employees' benefit by limiting the scope of trade secrets related to the workers' rights of choosing their occupation. General knowledge and technology that the professional workers have acquired during the employment belong to workers, not trade secrets. So employee is allowed to transfer freely.
However, there are exceptions to protect when it needs to be, we should recognize claims for prohibition for employee's transfer, even if there is no covenants not to compete. In judging of the needs for the trade secrets protection, there are more limitations to accept claims for prohibition for employee's transfer without covenants not to compete, but it is also unfair to disclaim to all claims for prohibition for employee's transfer by reason of no covenants not to compete .
