In considering the current state of the Japanese economy, it is necessary to focus on another factor related to economic growth; that is, the increasing importance of the role of innovation in the recent economic growth in developed countries. Under these circumstances, it is necessary for companies to continuously create new innovations and to this end, establishing a system to effectively utilize the excellent abilities of individuals is important. In this regard, Japan enacted the Basic Law on Intellectual Property in 2002. Under the law, the Unfair Competition Prevention Act was amended in 2003 and over again in 2005. Thus an attempt to commit a crime provided in unfair competition prevention shall be punished, which was stiffens penalties for wrongdoers.
In Japan, there is no statutory provision on non-competition that generally imposes on employees during or after employment relations. But, it is generally accepted that an employee bears a duty not to compete with his employer during employment relations in light of the duty of loyalty inherent to an employment contract. In Japan, it is left to the courts in cases of dispute to determine whether the clauses in the agreements are valid or not.
However, non-competition clauses, which are also called 'covenants not to compete' or 'trade secret', are encountered in many legal contexts, which are employer's interest(protection of the trade secrets), employee's interest(right of finding new job) and public interests(danger of monopoly and prevention of unfair competition) into consideration. Japan, the Employment Contract Act is currently being enacted. In this enactment is also designed to the reasonable scope of the covenant. There are some problems, the interests are well-balanced, to be solved by revising legal provisions.
