In the 20th century, increases of mass production and large enterprise caused contract formation through the use of standard form Formalizing contents of repeated negotiation is desirable in efficiency aspect. In the meantime, with increase of such modem transaction, the battle of the forms in the case of offeree responding through form with terms that is inconsistent with terms of offer is raised also.
That is, both parties progress negotiation about items that they think are very important to their own profit, for example, quality, quantity, price, shipment and payment. But case that the other terms not mentioned above are not so much dickered. These terms have been incorporated beforehand in standard form that both parties use in contract. Thus, disputes are raised concerning whether there exists a contract and, if it is, what constitute terms of contract. It is because there are differences between dickered terms or offeror's in-print terms and offeree's in-print terms.
As a solution to deal with the problems of the battle of forms above mentioned, last-shot rule based on rule of mirror image and knock-out rule are recommended. Today, most countries solve the battle of the forms problems through applications of knock out rule. This rule is especially designed to address the battle of the forms problems. Unlike the last shot rule, this rule is not based on the general principle of offer and acceptances. Under the knock out rule, a contract exists even though offer and acceptance do not perfectly coincide with. In this case, the contract established consists of those that are common in substance in both sets of general conditions. And the differing terms within standard forms knock each other out and are replaced by the default rules of the law.
