As recently Derivative Suits are often filed, the Business Judgement Rule is proposed by parties and is adopted by courts. The issue is whether the Business Judgement Rule can be applied when the director of corporation makes a contribution that is not sure to enhance corporate profit and shareholder gain.
I think the contribution to public welfare, humanitarian, educational, and philanthropic purposes can enhance corporate profit and shareholder gain indirectively and after long time. At this case the Business Judgement Rule must be applied to the contribution of the corporation' director. If the Business Judgement Rule is applied, a contribution need not be limited within the reasonable range because the wide discretion is given to the corporation' director. Moreover, I think the political contribution cannot bring about enhancing corporate profit and shareholder gain. If a contribution cannot bring about enhancing corporate profit and shareholder gain, the Business Judgement Rule must not be applied to the contribution of the corporation' director. Therefore the political contribution must be limited within the reasonable range. If the contribution of the corporation' director is out of reasonable range, the director must pay for damage because he violated duty of care or fiduciary duty.
