On the revised proposal of Commercial Law notified beforehand in May 2008 by the Ministry of Justice, the corporate opportunity doctrine is codified under § 398 (transaction between director and corporation) of Korean Commercial Law, and the proposal places the test of corporate opportunity under the subsection of § 398.
This article presents the resonable construction of law when the corporate opportunity doctrine comes to be codified on Korean Commercial Law and some problems of the revised proposal and improvement through the concrete consideration of the theories and the leading case in the US.
As the corporate opportunity doctrine has come to be settled down as case law in various states of the US and has been developed with many discussions to apply the theory properly, we have to consider that the corporate opportunity doctrine is the theory which is fully verified. However there are various kinds of business and circumstances of corporation, it may be true that we have some difficulties to make a rule perfectly and this area is closely connected with a factual question to be decided by resonable inferences from objective facts.
This article describes. in the part Ⅱ, the concept of the corporate opportunity doctrine. This part introduces the leading case and important theories on the corporate opportunity and describes the relations between the duty of loyalty, the duty of prohibition from competitive business and transaction between director and corporation. And it describes the test of corporate opportunity on Guth case and ALI principles of corporate governance etc.
And part Ⅲ describes the defenses for the director and the officer. This part examines the criteria and definition of the defenses including the per-mission by the board or stockholders.
Part Ⅳ studies the 2008 revised proposal of Commercial Law notified by the Ministry of Justice. Because the corporate opportunity doctrine is codified under § 398 (transaction between director and corporation) of Korean Commercial Law, this article presents that the corporate opportunity doc-trine may be placed as a independent clause or under the clause of competitive business prohibition because it is closely related to competitive business. Part Ⅴ describes the conclusion.
