The Korean government proposed an amendment bill to the Commercial Code in 2008. The Bill attempts to change the Korean corporate system considerably. In the area of corporate governance, the Bill introduces - information technology system for disclosure and shareholders' meeting;- definition of outside director;- expansion of scope for the self-dealing restrictions;- prohibition of misappropriation of corporate opportunities; and - US style executive officer system. After the Bill was proposed, there are arguments for and against the proposal. This article does not try to add another argument but analyses the corporate system under the Bill in order to ascertain that the Bill provides in accordance with the legislative purpose and to identify that the new system has any problems for enforcement if the Bill is passed. In 2009, the Commercial Code was amended twice for providing regulations of listed companies and small-sized companies. In this case, this article describes the amendments and evaluates the new systems.
