This paper analyzes Korean Supreme Court's decision cases to find out the legal implications of contract deposit clauses of real estate purchase & sale agreement and legal relationship between sale & purchase agreement and contract deposit clauses in the agreement. The purpose of this study is to interpret the legal principles of contract deposit clauses of purchase & sale agreement. and to understand role of contract deposit clauses and legal principle of compensation for damage in case default arises as purchase & sale agreement is not fulfilled, to prevent legal disputes in advance. This paper adopted analytical jurisprudence for methodology, and researched based on current theories and judicial precedents and various Korean literatures Under the adopted judicial precedent case in this paper, Purchaser and Seller executed purchase & sale agreement with the contract deposit clause but without actual payment of contract deposit. At that stage before payment of contract deposit, seller unilaterally announced refusal to fulfill agreement and cancellation of agreement. As contract deposit clauses in an agreement needs substantial contract of deposit money, the clause can not be legally established without actual payment of contract deposit money. In this case, contract deposit money can not be deemed as amount with cancellation of contract or pecuniary. Sellers unilateral refusal to fulfil agreement causes default for seller. In case of seller's default, purchaser can request for compensation for damages. Whether there was damage for purchaser and the amount, if any, of damages is purchaser's burden of proof
