The purpose of this study is to investigate the standardization of international sales contract on the basis International Sale Contract of the ICC Model. The International Sale Contract of ICC Model is categorized by two parts; Specific Conditions and General Conditions. The model has been designed under the assumption that parties would normally use both Parts A and B, with each part being drafted with the other part.
In this study, the specific clauses are reviewed in the context of the possibility of the CISG in applying to the transaction. When drafting an agreement, specific care should be taken to ascertain particular requirements of the foreign country such as documentation, insurance, exchange controls and any other matters related to the contract, so that the appropriate clauses may be included, while invalid or improper clauses may be removed or revised.
