As the amount of international trade increases, so does the possibility of disputes concerning the initiation and execution of contracts. We need to explore the risk of languages which are used in international contracts and refer to situations in other countries. When opening international trade contracts, contractors may use international trading languages, such as English, French, or Spanish, for their negotiations and international trades. They can select one of them for the international negotiation and contracts. The negotiation language is different from the contract language in terms of the rules of international contracts. Who would like to be responsible for the risk inherent in languages?
We surveyed cases concerning the risks of languages in ULIS, ULFC and CISG. In these cases, the general principles concerning risks of language are not yet established, so we must analyze each case individually. The foundation of international trade contracts requires clear distinguishing between the initial contacts and the existing ones. It depends on whether or not the contractors are merchandisers. The reason is that languages used by merchandisers vary, depending on their business scales. How much effort they have made in their communications is also a factor.
General trading terms increasingly apply in the initiation of international contracts. In this case, negotiation is not consistent with contracts, in terms of languages. It is popularly insisted that linguistic problems should be solved by codes based on contracts. If general trade terms are applied to international trade, it is sufficient to explain the terms in a negotiation language or submit the rules written in that language. Otherwise, the users of terms should be responsible for the inherent risks.
