Although adjustment of a profits collision must specify the contents of a right of tracking stock minutely in the articles of association first as a problem after publishing tracking stock, all the situations of the profits collision which can be generated in regulation of articles of association are predicted. Since there is a limit in that specifying is impossible the Election Administration Commission of especially a move a stock duty is important.
It is because the understanding adjustment problem between stockholders and conflict of interests transactions become a problem with fiduciary duty. In the Republic of Korea, a tracking stock would be helpful to highlight the value of strategic business divisions and as a method for funding and corporate restructuring.
