From 1978, China took a great turn to adopt a reformative and open-door policy. Numerous laws and regulations also have been adopted to encourage foreign investments and domestic economic reforms backed up by unflagging economic development since the declaration of introduction of a market economy in October 1992. The Company Law of the Peoples Republic of China enacted in December 1993 prescribes only the form of a limited liability company and a joint stock limited company in order to incorporate the pre-existing stated-owned enterprises.
The Company Law of China stipulates merger and division of a company m a very concise manner. Although the Company Law does not have provisions governing the structural changes to a company, some structural changes are possible to a limited extent through interpretation of the Law. Even in solvency, it is extremely difficult to utilize the application of the Company Law. Moreover, the grounds for dissolution of a company are uniformly provided irrespective of the type of companies.
Generally speaking, there are no curing measures when certain procedural problems occur during the course of structural changes to a company. It means that aggrieved minority shareholders have no legal remedy available to them under the Company Law. This legislative decision appears to be made upon the assumption that there would be no slight chance of causing some critical conflicts between company officers and shareholders or no chance of replacing controlling shareholders at a beginning stage in which Limited Companies and Joint Stock Companies of China just launched its operation after the conversion from State-owned enterprises. However, once the influx of private capital into a company is made and a company occasionally encounters with structural changes after issuance of company shares, it will be necessary for Chinese.lawmakers to properly act to protect the interests of minority shareholders.
