Hab-Cha-Hoe-Sa in the Korean Commercial Code and the limited partnership in U.S. have very similar structure in shape, except that the former is a corporate entity and the latter is a partnership. However, there are significant differences between Hab-Cha-Hoe-Sa and the limited partnership since the interpretation or provisions on the standard of the fiduciary duties of general partners, control and liabilities, derivative actions, and tax are substantially different.
Such deviations between the two types of entities can also be explained by the history of the enactments. The Korean Commercial Code provisions on Hab-Cha-Hoe-Sa have not been amended since the enactment of the Code, except only two minor provisions. In contrast, since the Uniform Limited Partnership Act was adopted in 1917 by the National Conference of Commissioners on Uniform State Laws (NCCUSL), U.S. uniform laws on limited partnership amended three times to incorporate the changes of cases and business of limited partnerships.
Hab-Cha-Hoe-Sa was not commonly used in Korea as a business entity, since the corporation by shares was used as a major type of business entity. However, recently by the amendment of the Act on the Operators of Indirect Investment Assets, private equity funds are required to use Hab-Cha-Hoe-Sa as their business entities. Thus it is expected to increase in the number of Hab-Cha-Hoe-Sa in the future. If private equity funds are formed as Hab-Cha-Hoe-Sa, the impact of the expected disputes between members might be greater than usual Hab-Cha-Hoe-Sa. The uniform laws and state statutes of U.S. limited partnership can give insights to interpret the provisions of Hab-Cha-Hoe-Sa as well amend the provisions, if necessary, to incorporate changes of business environment since the enactment of the Korean Commercial Code.
