The Korean Civil Code has Non-for-Profit corporation formalities process as like any other countries but more restraint. The Korean Civil Code §32 regulate all Non-for-Profit corporation and Non-for-Profit foundational juristic person's purpose must be nonprofitable what is the nonprofit ? many jurists strive to explain the juristic meaning of nonprofit. They say that nonprofit means non profit-sharing, is not prohibition of profit making itself. nevertheless, The Definition of Nonprofit as an Essential condition in Non-for-Profit Corporation Formation remains ill-defined because most Non-for- Profit Corporations make profits by their undertakings. I suggest that it result from the ignorance of typical difference between Non-for-Profit Corporations the definition of nonprofit in all Non-for-Profit Corporations are not same, Non-for-Profit Corporations has three types at least, the first type is for many and unspecified persons, the second type is for member but profit sharing, the third type is for profit sharing the first and second type corporations conform to Non-for-Profit Corporation, the third type conform to Profit Corporation when corporation liquidate, our civil code permit to return the residue to the promoters in a way. but we must prohibit returning the residue to the promoters on corporation liquidation. it is difficult to define nonprofit of Non-for- Profit Corporation today, when all Non-for-Profit Corporations do their best to solve financial problems but for prevention to the Abuse of juristic benefit to Non-for-Profit Corporations the definition of nonprofit must be clear, I think, To define nonprofit with corporation(foundation) types is a help to clear the definition of nonprofit.
