This paper is about the utility of distinguishing principles of law from rules of law and its limits. Especially, it treats legal theories of Dworkin and Alexy, which are related to the standards of distinguishing between legal rules and legal principles. And it treats three models of legal system which can be appeared from the result of critical look-over about such discussions. According to Dworkin, legal rules and legal principles are logically and structurally distinctive in that the former has all-or-nothing-character on the one hand and the latter has dimension of weight or importance on the other hand. According to Alexy, both are distinguished in that whereas principles are optimal orders, rules are definite ones. Such distinctions are useful in understanding what law is and which norms legal system includes. Furthermore, the theory of principles is practically very meaningful in that it provides the judge with a clue to make a decision in hard case. When man acknowledges the usefulness of distinguishing principles from rules, legal system is apt to be understood as rule-principle model or rule-principle-process model. These models are the ones which understand law under the viewpoint of practical rationality. By the way, I think rule-principle-process model is more proper than rule-principle one in that the former includes a series of forms and standards for rational argumentations. Their legal theories can be very available foundations to understand, search and analyse our legal system and its problems.
