The outside director system has been put in force for 14 years in Korea, but many outside directors don"t properly control and monitor corporate management in Korea. To strengthen the monitoring functions of outside directors, the professionalism and Independence of outside directors should be secured in his inauguration and activity as a member of the board of directors. doubtlessly outside directors should be independent from CEO or majority shareholders, and they should be able to monitor the management in objective and fair position.
But in the corporates of Korea there are many problems which obstruct outside director"s strict supervision. Many outside directors have been selected under the influence of CEO or enter into connection with him on the their period of service in a position, so they couldn"t strictly investigate or monitor over the corporate management of CEO. Therefore in order to secure the monitoring function of the outside directors, it is desirable to enhance the professionalism and independence of outside directors.
So it is required to include corporate creditor and institutional investor or a representative of the minority shareholders in the committee for the outside director candidate recommendation, and to announce publicly the activities of outside directors to shareholders, and to be able to make minority shareholders and institutional investors to exercise their rights in shareholders" meeting.
