The countries which had attempted to transform planning economy into market economy have experienced the big changes which transfer the economic power from government to private sector in economic system. The gradual transition in China has shown a good economic performance. On the other hand, it faces lots of hardship including corruption problem, income distribution disparity etc. In this paper, the economic model designed to explain the corruption problem in China is introduced, focusing on who is the decision maker, government or manager. They have a different objective functions in that while the former is much interested in politics such as social stability, the latter in profit maximization. According to this model, several types of corruption may be classified. Frist, manager has incentive to offer the bribe to politicians, decision maker, which leads them to decide efficiently. Second, politicians may provide managers with a variety of privileges, which leads to profit reduction of the firm. Third, with principal-agency problem, managers make an economically inefficient decision. Forth, privatization without transition of decision making right may increase economic inefficiency. This model is applied to explain why the performance of state-owned enterprises in China is not improved. It is concluded that to reduce the corruption, the decision making right should be transferred to managers obviously and monitoring organizations should be set up to block the manager's agency problem within the firm. And in the long term the increase of productivity also helps corruption diminish.
