The main question this article deals with is how to explain the different performance the Japanese government had shown in the process of structural adjustment in the retail industry between the early 1990s and the late 1990s. In 1991, the government succeeded to revise the major regulation law of the industry, the Large Scale Retail Store Law, but failed to abolish it. The law had so strongly protected the vested interests of small and medium-sized retailers(SMRs) that it obstructed modernization of the Japanese retail industry. It was in 1998 that the government finally achieved success in repealing the law in the teeth of opposition from the SMRs. Explaining the different outcomes, this article focuses on the supply side of the decision making process, and reviews three explanatory variables which are worthy of special notice. The first one is change in the SMRs' policy preferences, which was allegedly related to the process of the so-called 'natural' structural adjustment in the distribution industry. The second one is the compensation factor, which would be supported by the orthodox political economists who see a smooth structural adjustment is to keep pace with proper compensation. The last one is a political variable. The late 1990s witnessed changes in the behavior of the ruling LDP politicians, who were supposed to work for the interests of the SMRs. It is argued that this political change is due in part to the electoral reform carried out in the mid 1990s.
