There has been certain consensus on that the Disclosure system takes an essential role in a current corporate. Under this system, a corporation shall disclosure material information so that a shareholder, either current or potential, make a decision in exercising his/her right. The shareholder's inspection right lies within this system. It has very unique point in that the information, the subject of this right, is not fixed. It depends on a specific situation under which the corporation is situated. It means the possibility of extension of shareholder's right with flexibility. The current Disney Case denied such right for the compensation related information. The Judge Lamb render his opinion on the predominance of the corporate confidentiality in the case especially given of the confidentiality agreement by the parties. We have plenty of court cases on the shareholder' inspection right. Up to now, the court has turned its light on the subject or scope of this right, the proper purposes and the specific reasons for it. I believe that it is time to discuss whether some information in heated controversy such as the officer's compensation information should be disclosed or not. Balancing the corporate confidentiality value and the shareholder's right to know, we have make careful standard in connection with this shareholder's right.
