In recent years, many interests in innovative new business forms to accommodate social enterprises, organizations that pursue both profit and social purpose are growing domestically and internationally. In this regard, the approach of U.S. and U. K. give high insight.
In United States, many states offeres new business forms for the social enterprise. These hybrid forms are designed to free socially conscious entrepreneurs from the strict pursuit of shareholder value maximization that often controls in business practice and law, allowing them instead to serve the interests of other company stakeholders. Those forms include the benefit corporation, flexible purpose corporation and social purpose corporation. This paper details the development, provisions, and advantages of those form of corporations.
In addition, this paper analyzes the community interest companies(CIC), the organisation form that the U.K. established as a legal designation for social enterprise. Because Korea and U.K corporate law differ, the CIC is an intriguing development for us to be of significant use but in some sense, it has common approach with Social Enterprise Act in Korea. Because CIC related provisions provides that companies that choose to register as CICs commit to an asset lock and a divided cap. In this point, the approach is quite different from the pavement of U.S. In U.S, the states focus the corporate form and explore ways in which company might employ traditional corporate governance mechanisms and ensure that it effectively serves its dual commitments to stakeholders by way of market mechanism.
Social enterprise ought to have financing flexibility and recruit both donors and investors broadly. Current legal structures should make it easy to purse social enterprise"s mission and to generate revenue at the same time. To accomplish, access to the financing flexibility should be guarranted. To incorporate these characteristics in the current legal structure is crucial in Korea.
