Corporations in a capitalistic society have been occupying socially, economically and politically considerable important position, so that people's lives and the corporations cannot be separately regarded. Indeed, corporations are the core part in the capitalist market economy.
Even though economic activities of companies in the capitalistic market economy have largely attributed to the nation and the society, anti-social actions from corporations are easily found and they are getting severe.
The economic activities from companies impact on, in a narrow sense, rise and fall of the corporations and the opportunities of employee. Also, they could influence development and regression of the other party of the transaction and nation and society in a broad sense. Furthermore, it could threat the entire order of free market economy itself.
In this respect, this study examined corporate crimes and criminal law related legal system, and presented the ways of improvement through analysis of possible illegal activities of corporations in the course of establishment, management, mergers and acquisition(M&A), and extinction in theoretical, typological, and systemic way.
This research is supposed to be carried out for 2 years(2009, 2010). The research in 2009 was mainly about the phenomenon of corporate crimes from companies' economic activities. Based on this 2009 research, the next follow up study will focus on the sanctions of corporate crimes.
